SUBJECT 2: FCC License

Selling all interest, right and title to the FCC license (subject to FCC approval).

PLEASE NOTE: License transfer is subject to FCC approval. Buyer is solely responsible for the application/approval process for said license. Neither the seller nor Joe R. Pyle Auctions will be responsible for any portion of the application and/or approval process. Should the buyer of the real estate also be the buyer of the FCC license, the sale of the real estate is not contingent upon buyer successfully obtaining approval for FCC license.

SUBJECT 3:  Combination of Real Estate & FCC License

Please note:  If real estate & FCC license are sold in combination, Buyer will make separate deposits for the Real Estate & FCC license.  Should buyer not be approved for FCC license, that deposit would be refundable; however, FCC approval has no bearing on the deposit for real estate and the buyer's obligation to close on real estate.  

NOTE FROM WESTWOODONE:  

WestwoodOne is the company providing the 3 stations up for auction today with the 24/7 music formats they broadcast locally.  They receive these music formats via satellite receive equipment, which we provide at no cost to the station but is not station property.  I’m writing to ensure this equipment is returned to us once the station is off air.  I’m happy to provide a pre-paid FedEx return label.  I’ve attached the receiver quickstart which depicts the unit in question, registered with serial #405823.

 

New ownership may retain the equipment if they intend to carry on the format agreements currently in place with Thunder Assoc. LLC.  They can reach out to Eric Sundstrom to make arrangements or reach out to me to arrange for return of the equipment if they intend to take the stations in a different direction. 

 

REAL ESTATE TERMS: 10% nonrefundable down payment made day of auction (or within 24 hours for online bidders) with balance due at closing. Cash, check, & wire transfer accepted. Credit cards will not be accepted for the down payment. No financing contingencies will be entered into the contract. Any required inspections must be completed prior to bidding. Property is being sold as is, where is with no warranty written or implied.
Property will be sold free and clear of all liens. Seller is conveying surface rights only with no oil, gas, coal, mineral, or other subsurface interests conveyed unless otherwise noted. 60 days given to close. Announcements sale day take precedence over all advertisements published. 10% Buyers Premium will be added to determine final contract price. Name of purchaser on contract must be the name of the winning bidder or an entity which the winning bidder legally represents. No exceptions. Real estate sold subject to owner confirmation unless otherwise noted. Should the purchaser of real estate also be the purchaser of the FCC license, the sale of real estate is NOT contingent upon purchaser successfully obtaining approval for FCC license.
